These Terms of Service ("Terms") govern your access to and use of the EasyDesk customer messaging platform (the "Service"). By creating an account or using the Service you agree to be bound by these Terms.

1. Account & Eligibility

  1. You must provide accurate registration information and keep it updated.
  2. You are responsible for safeguarding credentials and all activity under your account.
  3. We may suspend or terminate accounts for breach or misuse.

2. Acceptable Use

  1. No unlawful, infringing, defamatory, harassing, deceptive, abusive, or fraudulent activity.
  2. No attempts to bypass security, probe infrastructure, or overload the Service.
  3. No sending of unsolicited bulk messages or spam.
  4. Respect platform (Meta/Facebook/Instagram) policies when connecting channels.

3. Customer Content

You retain ownership of messages, attachments, and data you submit ("Content"). You grant us a worldwide, non‑exclusive, revocable license to process Content solely to provide and improve the Service. You represent you have rights to the Content you transmit.

4. Privacy & Data Protection

Our handling of personal data is described in the Privacy Policy. By using the Service you acknowledge that processing.

5. Third‑Party Services & Integrations

Integrations (e.g., Facebook/Instagram) are subject to their own terms; you are responsible for compliance and maintaining required permissions. Revocation of external platform access may limit functionality.

6. Service Availability & Support

We aim for high availability but do not guarantee uninterrupted operation. Planned maintenance or incidents may cause temporary unavailability. Reasonable efforts will be made to notify of major changes.

7. Intellectual Property

The Service, software, and all associated intellectual property rights (excluding your Content) remain with EasyDesk or licensors. No rights are transferred except as expressly stated.

8. Suspension & Termination

We may suspend or terminate access for violations, legal compliance, or security reasons. You may terminate at any time; upon termination you should export data before closure.

9. Disclaimers

The Service is provided "AS IS" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non‑infringement.

10. Limitation of Liability

To the fullest extent permitted by law EasyDesk will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor aggregate liability exceeding fees paid in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EasyDesk and its affiliates from claims arising from (a) your use of the Service, (b) your Content, (c) breach of these Terms, or (d) violation of third‑party rights or laws.

12. Changes to Terms

We may modify these Terms. Continued use after new Terms are posted constitutes acceptance. Material changes will be communicated via the dashboard or email.

13. Governing Law

These Terms are governed by applicable local laws (without conflict of law principles). Venue for disputes will lie with competent courts in our primary place of business.
